1. Description of Services

rightcommercial.com.au provides a digital marketplace for commercial property listings, investor research tools, and service provider directories (including insurance brokers).

2. Agent & Listing Obligations

Real estate agents and agencies uploading properties to the platform warrant that:

• They hold a valid real estate licence in their respective Australian State or Territory.
• They have a signed authority from the owner to list the property.
• Listings are accurate, not misleading, and comply with Australian Consumer Law and state-based "Bait Advertising" regulations.
• Properties must be removed within 72 hours of being sold or leased.

4. Third-Party Service Providers

The platform may recommend or list insurance brokers based on location and property type. While we vet our partners, we do not guarantee the services provided by third parties. Any engagement with a broker found via this platform is a direct contract between the user and that provider.

5. Account Security & Tamper Logs

To maintain platform integrity, we implement advanced security measures:

• Tamper-Proof Logs: Users acknowledge that all account actions are logged using encrypted checksums to ensure security and auditability.
• Credentials: Users are responsible for maintaining the confidentiality of their login credentials (including TOTP keys).

6. Intellectual Property & Data Usage

6.1 Our Content

Unless otherwise stated, we (or our licensors) own the intellectual property rights in all material, software, and original content on rightcommercial.com.au. You must not copy, reproduce, or use that content outside the platform without our written permission.

6.2 Your Content

You retain ownership of any property photos, descriptions, listings, transactional information, and other data you upload or submit to the platform ("User Content").

By submitting User Content, you grant Spoketree AI Pty Ltd a non-exclusive, royalty-free, worldwide licence to:

• Host, store, reproduce, and display your User Content on the platform for the purpose of operating the platform and promoting the listing or service it relates to;
• Use your User Content for reasonable marketing of Spoketree AI Pty Ltd and the platform (for example, in promotional materials, social media, and search-engine snippets);
• Share your User Content with our service providers and business partners (such as cloud hosting, search syndication, and valuation partners) to the extent necessary to deliver the platform and the services you have requested; and
• Use your User Content to produce de-identified and aggregated data, insights, and analytics in accordance with clause 6.3.

You can remove your User Content from public display at any time through your account, or by contacting us. Removal ends our right to make new public uses of that User Content, but does not require us to recall or retract copies that have already been distributed, syndicated, indexed by search engines, or incorporated into de-identified data products, market reports, or analytical models produced before removal.

6.3 Data Products, Analytics & AI

A core part of our business is producing market intelligence from commercial property data. You acknowledge and agree that we may, on an ongoing and irrevocable basis, use User Content and platform activity to:

• Create de-identified and aggregated data sets, statistics, benchmarks, indices, market reports, valuations, and other analytical outputs;
• Train, develop, and improve algorithms, machine-learning and artificial-intelligence models; and
• Commercialise the resulting data products, reports, APIs, and professional services, including by licensing them to third parties.

"De-identified" means the data has been processed so that it does not directly identify you, your client, or any individual property in a way that is reasonably re-identifiable.

The de-identified and aggregated outputs, and the algorithms and models we develop, are owned by Spoketree AI Pty Ltd. This does not affect your ownership of the underlying User Content, and your right under clause 6.2 to remove that User Content from the platform is unaffected. You acknowledge that, because the outputs are derived and de-identified, removal of your underlying User Content does not require us to delete or recall existing data products, reports, or models.

6.4 Your Warranties & Indemnity

You confirm that:

• you have the right to submit your User Content and grant the licence in clauses 6.2 and 6.3 (including any necessary permissions from photographers, owners, co-listing agents, or other rights holders); and
• your User Content does not infringe any third party's intellectual property, privacy, confidentiality, or other rights, and complies with applicable law.

You agree to indemnify Spoketree AI Pty Ltd for losses we suffer as a direct result of a breach of this clause 6.4, except to the extent caused by our own negligence or wrongful act.

6.5 Personal Information

Where User Content contains personal information, we will handle it in accordance with our Privacy Policy and the Australian Privacy Principles. Nothing in this clause 6 overrides your rights, or our obligations, under the Privacy Act 1988 (Cth).

7. Limitation of Liability

To the maximum extent permitted by law, Spoketree AI Pty Ltd shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the platform or any errors in property listings.

8. Governing Law

These terms are governed by and construed in accordance with the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the state and federal courts located in Australia for the resolution of any disputes.

9. Data Processing for CRM Syncing

9.1 Roles

Where an Agency syncs property data with the platform via an automated feed (such as an XML feed or API integration), the Agency is responsible for the personal information contained in that feed (the "Data Controller") and Spoketree AI Pty Ltd processes that information on the Agency's behalf (the "Data Processor") for the purposes of the Privacy Act 1988 (Cth). The terms "Data Controller" and "Data Processor" are used as shorthand and do not affect the parties' obligations as APP entities under the Privacy Act.

9.2 Security

Spoketree AI Pty Ltd will process synced data in accordance with the security standards outlined in our Privacy Policy, including encryption in transit, restricted administrative access, and a multi-tier server architecture with data-access-layer isolation.

9.3 Leads

Any personal information captured as a "lead" via the platform (for example, an inquiry submitted by a prospective tenant or buyer) remains the property of the Agency to whom the lead is directed. Spoketree AI Pty Ltd may process that information to deliver the lead, prevent fraudulent or abusive inquiries, maintain audit logs, and otherwise operate the platform.
